Van's Corner Stone Masonry - Terms and Conditions
1. Agreement: These terms and conditions form a legally binding agreement between Van's Corner Stone Masonry ("VCS MASONRY") and the client. Commencement of work or payment of a deposit signifies the Client's acceptance of these terms.
2. Estimates and Quotes: * All estimates are valid for 30 days from the date issued and are subject to change after this period. * Quotes are based on the information provided by the Client. Any changes to the scope of work may result in revised pricing. * Unless explicitly stated, quotes do not include permits, engineering fees, or other third-party costs.
3. Scope of Work: The specific services to be provided by VCS MASONRY will be outlined in a separate written proposal or contract. Any changes or additions to the agreed-upon scope of work must be documented in writing and may incur additional charges.
4. Payment Terms: * A deposit of 25% of the total quoted price may be required upon acceptance of the proposal to secure scheduling. * Progress payments may be required based on milestones outlined in the contract. * The final balance is due upon substantial completion of the work, unless otherwise agreed in writing. * Payments can be made in various forms. * Overdue payments may be subject to a late payment fee of 10% per week.
5. Client Responsibilities: * The Client is responsible for providing accurate property information and ensuring clear access to the work site. * The Client is responsible for obtaining any necessary permits or approvals unless explicitly stated otherwise in the contract. * The Client shall ensure the work area is free from obstructions and hazards. * The Client is responsible for protecting any personal belongings in or around the work area.
6. Van's Corner Stone Masonry Responsibilities: * Van's will perform the work in a professional and workmanlike manner, adhering to industry standards. * VCS MASONRY will take reasonable precautions to protect the Client's property during the work. * VCS MASONRY will comply with all applicable safety regulations.
7. Warranty: * VCS MASONRY warrants its workmanship for a period of 60 months from the date of substantial completion, under normal use and conditions. * This warranty covers defects in workmanship but does not cover issues arising from: * Normal wear and tear. * Acts of God (e.g., earthquakes, floods). * Improper maintenance or misuse by the Client. * Structural issues not caused by VCS MASONRY's work. * Client-supplied materials. * Any warranty claims must be submitted in writing within the warranty period. VCS MASONRY will, at its discretion, repair or replace the defective workmanship.
8. Limitation of Liability: To the maximum extent permitted by law, Van's Corner Stone Masonry's liability for any claim arising out of or related to the services provided shall be limited to the total amount paid by the Client under this agreement. VCS MASONRY shall not be liable for any indirect, consequential, or incidental damages.
9. Termination: * Either party may terminate this agreement with written notice if the other party materially breaches these terms and conditions and fails to cure such breach within 3 days of receiving written notice. *VCS MASONRY may terminate this agreement immediately if the Client fails to make timely payments. * In the event of termination by the Client without cause, any deposit paid may be non-refundable, and the Client may be liable for costs incurred by VCS MASONRY up to the point of termination.
10. Force Majeure: Neither party shall be liable for any delay or failure to perform its obligations under this agreement due to events beyond its reasonable control, including but not limited to acts of God, natural disasters, labor disputes, or material shortages.  
11. Governing Law: This agreement shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada.
12. Entire Agreement: These terms and conditions, together with the written proposal or contract, constitute the entire agreement between the parties and supersede all prior discussions and agreements, whether oral or written.  
13. Amendments: Any amendments to these terms and conditions must be in writing and signed by both parties.
14. Severability: If any provision of these terms and conditions is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
